1. Introduction
These Terms of Service (“Terms”) govern your use of InFlow AI’s website and services (collectively, the “Service”), operated by CARDIGITAL FZCO (License #15150), registered at DSO-IFZA, Dubai Silicon Oasis, United Arab Emirates. By accessing or using the Service, you agree to be bound by these Terms.
2. Service Description
InFlow AI provides AI-powered business-to-business (B2B) accounts receivable recovery services. Our platform uses artificial intelligence to help businesses recover outstanding invoices and improve cash flow through automated, professional communication with debtors.
3. Eligibility
The Service is intended exclusively for businesses and their authorized representatives. By using the Service, you represent and warrant that:
- You are acting on behalf of a registered business entity.
- You have the authority to bind that entity to these Terms.
- The invoices submitted for recovery represent legitimate B2B debts.
- You are at least 18 years of age.
4. Account Terms
You are responsible for maintaining the security of your account credentials. You must provide accurate, complete information when creating an account. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized access.
5. Payment Terms
InFlow AI operates on a gain-share model:
- There are no setup fees or monthly subscription costs.
- You pay a percentage of successfully recovered amounts only.
- The specific percentage will be agreed upon before service activation.
- Payments are due within 14 days of successful recovery confirmation.
- Early access participants may receive preferential rates.
All amounts are exclusive of applicable taxes (including VAT) unless stated otherwise.
6. Acceptable Use
You agree not to:
- Submit fraudulent, fabricated, or disputed invoices for recovery.
- Use the Service for consumer debt collection (B2C).
- Attempt to reverse-engineer, decompile, or access the underlying AI models.
- Use the Service to harass, threaten, or intimidate any party.
- Violate any applicable laws or regulations in your jurisdiction.
- Interfere with or disrupt the Service infrastructure.
7. Intellectual Property
All rights, title, and interest in the Service — including AI models, algorithms, software, branding, and documentation — remain the exclusive property of CARDIGITAL FZCO. You retain ownership of the business data you provide. By using the Service, you grant us a limited license to process your data solely for providing the Service.
8. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party. This includes business data, invoice details, recovery strategies, and commercial terms. This obligation survives termination of these Terms.
9. Limitation of Liability
To the maximum extent permitted by law:
- InFlow AI is provided “as is” without warranties of any kind, express or implied.
- We do not guarantee the recovery of any specific amount or percentage of outstanding invoices.
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
- We shall not be liable for indirect, incidental, special, consequential, or punitive damages.
- We are not liable for any actions taken by debtors in response to recovery communications.
10. Indemnification
You agree to indemnify and hold harmless CARDIGITAL FZCO and its officers, directors, and employees from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or the submission of inaccurate or fraudulent data.
11. Termination
Either party may terminate the Service with 30 days’ written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, any outstanding fees for completed recoveries remain due. We will delete or return your business data within 60 days of termination, unless retention is required by law.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Dubai, UAE, in accordance with the rules of the Dubai International Arbitration Centre (DIAC). The language of arbitration shall be English.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.
